Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of thegpu.ai (the "platform"), the newsletter known as The GPU, and any advisory services provided by Disintermediate Ltd ("we", "us", "our"), a company registered in England and Wales (company number 13799566).

By accessing the platform, creating an account, subscribing to The GPU, or engaging our advisory services, you agree to be bound by these Terms.

2. The Platform

The GPU is an intelligence platform for the GPU compute and AI infrastructure market. It includes a company directory, GPU pricing index, news feed, financial models, and editorial coverage. The platform is provided on an "as is" and "as available" basis. Some features are restricted to authenticated and/or paying users.

3. Accounts

You must create an account to access certain features of the platform. Authentication is provided by Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

We may suspend or terminate accounts that breach these Terms, abuse the platform, or attempt to circumvent access controls.

4. Newsletter Subscription

When you create a platform account, the option to subscribe to The GPU newsletter is enabled by default. You may deselect it before completing signup or unsubscribe at any time via the link in any newsletter email or from your account settings. The newsletter is delivered via Beehiiv.

Newsletter and platform content is provided for informational purposes only and does not constitute investment advice, legal advice, procurement advice, or any professional recommendation.

5. Paid Subscriptions and Sponsorships

Certain platform features and services (including premium data access, sponsored profiles, and newsletter sponsorships) are offered on a paid basis. Pricing, billing terms, and refund policies for paid services are set out at the point of purchase or in a separate order form. Payments are processed by Stripe.

6. Advisory Services

Advisory engagements are governed by separate engagement letters or statements of work agreed between the parties. These Terms apply to platform use and newsletter subscriptions; they do not replace or modify any advisory engagement agreement.

All advisory outputs are confidential between Disintermediate and the client unless otherwise agreed in writing.

7. Intellectual Property

All content on the platform, including text, data, graphics, charts, the design system, and editorial coverage, is the property of Disintermediate Ltd unless otherwise stated. Newsletter content, intelligence reports, and advisory outputs are protected by copyright.

You may not reproduce, redistribute, resell, or create derivative works from our content without prior written permission, except for reasonable personal or internal business use. Cited use (with attribution to The GPU) of individual data points and short quotations is permitted.

8. Acceptable Use

You agree not to:

  • Scrape, crawl, or systematically extract data from the platform without prior written permission.
  • Use automated tools (bots, headless browsers, AI agents) to access the platform other than at human-equivalent rates.
  • Bypass authentication, rate limits, or any other access controls.
  • Resell, redistribute, or republish platform data or editorial content as a competing product.
  • Use the platform to train machine learning models without a separate licence agreement.
  • Misrepresent the source of platform data or remove attribution.

9. Data and Market Intelligence

Market data, pricing intelligence, and company information published on the platform or in The GPU newsletter are compiled from publicly available sources, contributing providers, and our proprietary research. While we take reasonable care to ensure accuracy, we make no warranty as to the completeness, accuracy, or timeliness of this data.

Our data should not be used as the sole basis for investment decisions, procurement decisions, or other material business decisions without independent verification.

10. Limitation of Liability

To the fullest extent permitted by law, Disintermediate Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, newsletter, or reliance on information provided. Our total liability for any claim shall not exceed the fees paid to us in the twelve months preceding the claim.

11. Third-Party Services

The platform integrates with third-party services including Clerk (authentication), Beehiiv (newsletter delivery), Vercel (hosting), Supabase (data), Stripe (payments), and Attio (CRM). Your use of these services is subject to their respective terms and privacy policies.

12. Social Media and External Links

The platform contains links to external sites including LinkedIn, company websites, and source documents. These links are provided for convenience and do not imply endorsement of or affiliation with those sites beyond our stated presence. When you follow a link to a third-party site, you are subject to that site's terms and privacy policy.

We do not use LinkedIn APIs, tracking pixels, or social plugins on the platform. We do not collect, scrape, or process LinkedIn member data. Our LinkedIn presence is maintained in compliance with LinkedIn's Pages Terms and User Agreement. Content shared by The GPU on LinkedIn remains subject to our intellectual property rights as described in Section 7.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the newsletter or platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
